1. These terms
These terms apply to services and products supplied by [LEGAL ENTITY NAME], trading as Winfrey Publishing. By commissioning services or placing an order you accept them. Where a signed statement of work conflicts with these terms, the statement of work prevails.
2. Your rights in your work
You retain all copyright and all other intellectual property rights in your manuscript and any material you supply. We acquire no ownership interest in your work at any time. You grant us only the limited licence needed to produce, publish and distribute your book as instructed by you, for the duration of the engagement.
3. Your warranties
You confirm that your work is original to you or that you hold all necessary rights; that it does not infringe any third party's copyright, trade mark or other rights; that it is not defamatory and does not breach anyone's privacy; and that you have obtained all permissions required for third-party material, including images and quoted text. You agree to indemnify us against claims arising from a breach of these confirmations.
4. Scope, quotes and changes
Every engagement is defined by a written scope listing deliverables, price, schedule and revision allowances. Prices shown on this website are indicative starting points and are not offers. Work begins only after you approve the scope. Changes to scope after work begins are quoted separately and may affect the schedule.
5. Payment
Payment terms are set out in your scope, usually as a deposit followed by milestone payments. Work is not released until the corresponding invoice is settled. Late payment may pause the project and may attract interest at [RATE] as permitted by law.
6. Timelines
All timelines are estimates, not commitments. Actual schedules depend on manuscript length and condition, the number of revision rounds, the speed of your responses and approvals, third-party availability, and retailer and printer processing times. We will notify you promptly of any material change to your schedule. We are not liable for losses arising from schedule variation.
7. Revisions
Your scope states how many revision rounds each deliverable includes. Additional rounds are available and quoted separately. Requests that materially change an agreed brief are treated as new work rather than as revisions.
8. Author responsibilities
You agree to supply materials in the formats requested, provide feedback and approvals within the agreed windows, and check proofs carefully. Once you have approved final files, you are responsible for their content. Corrections after approval are chargeable.
9. What we do not promise
We make no representation or guarantee as to: the number of copies your book will sell; its ranking on any retailer, chart or list; whether it will receive reviews or media coverage; whether any bookstore or library will stock it; whether any agent or publisher will acquire it; or any financial return of any kind. Publishing outcomes depend on many factors outside our control, and any statement about results describes activity delivered rather than results achieved.
10. Distribution
Retailer and wholesaler availability depends on each channel's own policies and can change without notice. Listing a title does not guarantee that any retailer will stock, display or promote it. We are not responsible for the acts, omissions or terms of third-party retailers, printers or distributors.
11. Cancellation
Either party may terminate an engagement in writing. On termination you pay for all work completed and all costs committed up to that date. Deliverables completed and paid for are released to you. Cancellation and refund entitlements are set out in our Refund Policy, which forms part of these terms.
12. Bookstore orders
Physical books are supplied subject to availability and printing lead times. Digital products are delivered by secure download link that expires after [48 HOURS]; contact us for a replacement link if yours has expired. Statutory consumer rights, including any applicable cancellation rights, are unaffected by these terms.
13. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. Subject to that, our total liability arising from an engagement is limited to the fees you have paid us for that engagement, and we are not liable for indirect or consequential loss, loss of profit, loss of sales or loss of anticipated savings.
14. Confidentiality
We keep your manuscript and project details confidential and disclose them only to team members and contracted specialists working on your project, who are themselves bound by confidentiality obligations.
15. Governing law
These terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction over any dispute.
